1. Acceptance of Terms

By accessing or using the Associhealth platform and related services ("Services"), you agree to be bound by these Terms and Conditions. If you are using the Services on behalf of a dental practice or organization, you represent that you have the authority to bind that entity to these terms. If you do not agree, you must not use our Services.

2. Description of Services

Associhealth provides an electronic health records (EHR) platform designed for dental practices in the Philippines. The Services may include patient and practice management, appointment scheduling, treatment and clinical documentation, reporting, and related features. We reserve the right to modify, suspend, or discontinue any part of the Services with reasonable notice where practicable.

3. Compliance with Philippine Law

You agree to use the Services in compliance with all applicable laws of the Republic of the Philippines, including but not limited to:

  • Data Privacy Act of 2012 (Republic Act No. 10173) and the rules and guidelines of the National Privacy Commission (NPC). You are responsible for ensuring that you have appropriate legal grounds (e.g., consent, contract, legal obligation) to collect, process, and store patient and other personal and sensitive personal information through our platform.
  • Applicable healthcare, dental practice, and record-keeping regulations, including those issued by the Department of Health (DOH), Professional Regulation Commission (PRC), and other relevant bodies.
  • Laws relating to the security and confidentiality of medical and dental records.

You must obtain necessary consents from patients and other data subjects before their data is entered into or processed through our Services, and you must not use the Services in a way that would cause us or you to violate the Data Privacy Act or other applicable law.

4. Your Responsibilities

You agree to:

  • Provide accurate information and keep your account and practice data up to date.
  • Maintain the confidentiality of your account credentials and restrict access to authorized personnel only.
  • Use the Services only for lawful purposes and in accordance with professional and ethical standards applicable to dental practice in the Philippines.
  • Ensure that patient and other health data are collected, used, and disclosed in compliance with the DPA and that data subjects are informed as required by law.
  • Not upload, transmit, or store any content that is illegal, harmful, or infringes the rights of others.

5. Data and Privacy

Our collection, use, storage, and disclosure of personal and sensitive personal information (including health data) are described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you acknowledge that you have read and understood our Privacy Policy. We process data in accordance with the Data Privacy Act of 2012 and applicable NPC guidelines. You remain responsible for your own compliance as a data controller or in your capacity as a healthcare provider when you input and manage data through our platform.

6. Intellectual Property

The Associhealth platform, including its software, design, content (excluding content you provide), and branding, is owned by Associhealth or its licensors. You are granted a limited, non-exclusive, non-transferable right to use the Services for your practice in accordance with these Terms. You may not copy, modify, distribute, or create derivative works from our platform or use our trademarks without our prior written consent.

7. Limitation of Liability

To the fullest extent permitted by Philippine law, Associhealth and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or in connection with your use of the Services. Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid us for the Services in the twelve (12) months preceding the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

8. Disclaimer

The Services are provided "as is" and "as available." We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. We are not responsible for the clinical decisions or actions of users; the Services are tools to support practice management and record-keeping, and users remain solely responsible for their professional judgment and compliance with applicable standards of care and law.

9. Termination

We may suspend or terminate your access to the Services if you breach these Terms or for other legitimate reasons with reasonable notice where appropriate. Upon termination, your right to use the Services ceases. Provisions that by their nature should survive (including those on liability, intellectual property, and governing law) will remain in effect. We will assist with data export or transition as required by our Privacy Policy and applicable law.

10. Governing Law and Disputes

These Terms are governed by the laws of the Republic of the Philippines. Any dispute arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of the Philippines. You may also have the right to lodge complaints with the National Privacy Commission in relation to data protection matters.

11. Changes to Terms

We may update these Terms from time to time. We will post the revised Terms on our website and update the "Last updated" date. Continued use of the Services after changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services.
